Texas Veteran LLC Filing Fee Waiver

How to file your Texas LLC for free using the veteran filing fee waiver — step by step.

7 min read·

Texas offers one of the most valuable benefits for veteran entrepreneurs in the country: a complete waiver of the $300 LLC filing fee. Under Texas Business Organizations Code §3.005(b), veterans who obtain a Veteran Verification Letter from the Texas Veterans Commission can form a business entity with the Secretary of State at no cost.

This guide explains exactly how the fee waiver works, who qualifies, and how to use it to file your Texas LLC for free.

What Is the Veteran Filing Fee Waiver?

When you form an LLC in Texas, the Secretary of State charges a $300 filing fee for the Certificate of Formation (Form 205). For veterans, this fee is fully waived — meaning you pay $0 to create your LLC.

The waiver applies to:

  • Limited Liability Companies (LLCs)
  • Corporations
  • Limited partnerships
  • Other entity types filed with the Texas SOS

The legal authority for this waiver is Texas Business Organizations Code §3.005(b), which directs the Secretary of State to waive the filing fee when a Veteran Verification Letter is presented.

Who Qualifies for the Fee Waiver?

To qualify, you must meet these requirements:

  • U.S. military veteran — served in the Army, Navy, Air Force, Marines, Coast Guard, or Space Force
  • Honorable discharge — or general discharge under honorable conditions (documented on your DD-214)
  • Texas resident — or forming a business entity in Texas
  • Veteran Verification Letter — issued by the Texas Veterans Commission (TVC)

The waiver is available once per veteran — it covers the initial formation filing, not amendments or other filings.

Step-by-Step: How to Use the Fee Waiver

Step 1: Gather Your DD-214

Your DD-214 (Certificate of Release or Discharge from Active Duty) is the primary document proving your veteran status. If you don't have a copy, you can request one from the National Personnel Records Center (NPRC) through the National Archives website.

Step 2: Request a Veteran Verification Letter

Contact the Texas Veterans Commission to request your VVL. You can:

  • Submit a request through the TVC website
  • Visit a local TVC office or Veterans County Service Officer
  • Call the TVC directly for assistance

Processing times vary — it can take anywhere from a few days to several weeks. The TVC sends the VVL directly to the Texas Secretary of State's office. See our full VVL guide for detailed instructions.

Step 3: Prepare Your Certificate of Formation

While waiting for your VVL, prepare Form 205 (the Certificate of Formation for an LLC). You'll need:

  • Your LLC name (check availability with the Texas SOS)
  • Registered agent name and physical Texas address
  • Organizer name and address
  • Management structure (member-managed or manager-managed)
  • Purpose of the LLC

Step 4: File With the Secretary of State

Once the TVC has sent your VVL to the Secretary of State, file Form 205. The $300 fee will be waived automatically. You can file:

  • Online — through the Texas SOS SOSDirect portal
  • By mail — send Form 205 to the SOS office in Austin
  • Through Hutchrok — we prepare and file everything on your behalf at no cost

Common Mistakes Veterans Make

These are the most frequent issues we see veterans run into with the fee waiver process:

  • Filing before the VVL is received — if you file Form 205 before the TVC sends your VVL to the SOS, you'll be charged the $300 fee. Timing is critical.
  • Not checking name availability — if your LLC name is already taken, the filing is rejected and you have to start over
  • Using a PO box for the registered agent — Texas requires a physical street address for your registered agent
  • Assuming the waiver covers everything — the fee waiver covers the initial filing only. EIN applications, operating agreements, and other setup costs are separate (though many are free).
  • Waiting too long to file — VVLs may have a limited validity window. File promptly after the TVC processes your letter.
